In a subsequent filing with regulators, Twitter said the number of bot accounts on its platform was less than 5 percent of the total. But Musk is skeptical, saying the proportion of Twitter fake users could be as high as 20%.

On May 17, Musk said on Twitter that unless Twitter can provide evidence that its fake user ratio is less than 5%, the acquisition will not proceed.

Today, he said in a letter to Twitter that Twitter boycotted and obstructed his access to information about Twitter’s fake accounts, in violation of a previous acquisition agreement between the two parties.

The letter, signed by Skadden attorney Mike Ringler, said: “Musk retains all rights arising therefrom, including his right not to complete the transaction and to terminate the acquisition. the right to the agreement.”

Affected by this, Twitter shares fell as much as 5% in premarket trading.

In the letter, Musk’s lawyer Ringler also said that the acquisition agreement stipulated that Twitter would need to provide Musk with the data he needed. At the same time, Lingler also refuted Twitter’s claim that Twitter only needs to provide limited information “to help close the deal.”

“In contrast, Musk has the right to seek information and data, and Twitter has an obligation to provide information and data, including ‘for any reasonable business purpose associated with completing the transaction,'” Lingler said.

Lingler continued: “At this point, Musk believes that Twitter is clearly refusing to meet its obligations under the acquisition agreement. This raises further suspicion that Twitter is withholding the requested data out of concerns about Musk’s analysis of the data. We’ll reveal some inside stories later.”

According to the letter, Musk also promised to ensure that anyone reviewing Twitter data would be bound by a “non-disclosure agreement.” Nor will he use any “competitively sensitive information” if the deal is not completed.
